End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you (an individual or a single entity) ("You" or "User") and Wilman Garcia ("Company", "we", "us") for your use of the PedalPro mobile application ("App"). By installing, copying, or otherwise using the App, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the App.

1. License Grant

The Company grants you a limited, non-exclusive, non-transferable, revocable license to use the App on devices that you own or control, subject to the terms of this Agreement and any store terms (e.g., Apple App Store, Google Play).

2. Permitted Use

• You may use the App for its intended personal or business purposes as provided in the App description.
• You may make a reasonable number of copies for backup or archival purposes.

3. Restrictions

You agree not to:

• Reverse engineer, decompile, disassemble, modify, or create derivative works of the App (except to the extent permitted by law).
• Remove, alter, or obscure any proprietary notices on the App.
• Rent, lease, sublicense, sell, assign, or otherwise transfer rights to the App.
• Use the App to infringe the rights of others or transmit malicious code.

4. Accounts and Registration

Some features may require creating an account. You are responsible for providing accurate information and for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use.

5. User Content

If the App allows you to submit content (e.g., profiles, recordings, comments), you retain any ownership rights in that content. By submitting content, you grant the Company a worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, and display that content to operate and improve the App and related services.

6. Subscriptions, Payments & Refunds

Where the App offers paid features (one-time purchases or subscriptions), such purchases are governed by the payment terms displayed in the App and by the applicable app store's terms. You authorize the app store and the Company to process payments. Refunds are handled according to the app store policies unless otherwise stated.

7. Updates

We may provide updates or upgrades to the App. Updates may be required to continue using certain features. All updates are subject to this Agreement unless we expressly provide otherwise.

8. Third-Party Services & Links

The App may contain links to third-party services and integrate third-party software. We are not responsible for the content, privacy, or practices of third parties. Your use of third-party services is at your own risk and may be subject to additional terms.

9. Privacy

Use of personal data collected by the App is governed by our Privacy Policy. The Privacy Policy explains what data we collect and how we use it. By using the App you consent to such collection and use.

10. Intellectual Property

All intellectual property rights in the App (including but not limited to code, graphics, designs, trademarks) are owned by the Company or its licensors. Except for the rights expressly granted herein, no other rights are granted.

11. Warranties & Disclaimers

The App is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. To the fullest extent permitted by law, the Company disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will the Company be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business interruption, arising out of or related to your use of the App, even if advised of the possibility of such damages. Our aggregate liability for direct damages will not exceed the greater of (a) the amount you paid for the App in the last 12 months, or (b) $50.

13. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from and against any claim, demand, liability, loss, damages, or expenses (including reasonable attorneys' fees) arising from your use of the App, violation of this Agreement, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your rights under this Agreement at any time if you breach any material term. Upon termination, you must cease all use of the App and uninstall/delete all copies. Surviving provisions (e.g., indemnity, limitation of liability, governing law) will continue to apply.

15. Export Compliance

You agree to comply with all export and re-export control laws and regulations of the jurisdiction(s) applicable to your use of the App.

16. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the United States and the State of California, Marin County, without regard to conflict of laws principles. Any dispute arising under or related to this Agreement will be resolved in the state or federal courts located in California, Marin County, and you consent to personal jurisdiction there (unless prohibited by applicable law).

17. Changes to this Agreement

We may modify this Agreement from time to time. If changes are material, we will provide notice (e.g., in the App or by email). Continued use after notice constitutes acceptance of the updated Agreement.
